Core Critical Metals Corp. Announces Shareholder Approval of Plan of Arrangement
Core Critical’s spin-out approval establishes three focused critical metal entities, streamlining its portfolio of lithium, nickel and cobalt assets.

Core Critical Metals Corp. (CCMC) announced that shareholders unanimously approved a statutory plan of arrangement to spin out its Senneville Project into Spinco1 and its Timmins Nickel Project into Spinco2. The approval was secured with 100% of votes cast at the annual general meeting on September 28, 2026.
Under the transaction structure, each CCMC shareholder will receive one new Class A common share of CCMC, one common share of Spinco1, and one common share of Spinco2 for each CCMC share held. CCMC will retain the Lucky Mike Project.
The arrangement is subject to final Supreme Court of British Columbia approval, with a hearing scheduled for October 5, 2026, and TSX Venture Exchange acceptance. The expected effective date is October 9, 2026, with a share distribution record date of October 8, 2026.
Core Critical Metals Corp. (CCMC) announced a spin-out on September 9, 2026, a move that was fully expected and aligns with management's stated strategy to create three focused companies. The transaction received 100% shareholder approval, removing the primary regulatory hurdle and accelerating the timeline to October 9, 2026.
The 1-for-1-for-1 distribution structure ensures no immediate dilution to existing shareholders and allows direct participation in the standalone value of the Senneville and Timmins Nickel assets. While the approval is a procedural milestone rather than a new catalyst, it is viewed as strategically positive for long-term value unlocking. The fundamental exploration risk and capital requirements associated with the projects remain unchanged.
Core Critical Metals Corp. is a North American exploration company focused on critical metals for electrification, technology, and defense. Its flagship project is the Lucky Mike property in British Columbia, a 7,675-hectare copper-silver-tungsten site located in the Nicola Mining District adjacent to Teck Resources' Highland Valley Copper Mine.
Historic resources at Lucky Mike totaled approximately 73.5 million tonnes at 0.23-0.27% CuEq, containing roughly 373-402 million pounds of copper. Historic tungsten drilling averaged 0.312% WO3 over widths of approximately 25 feet.
The company also holds the Senneville Project in Quebec, covering 8,575 hectares, and the Timmins Nickel Project in Ontario, covering 10,060 hectares. These assets are being spun out into separate entities. Core Critical Metals is transitioning to semi-annual reporting and is focusing exploration efforts on Lucky Mike, Timmins, and Bear River, while discontinuing work at Senneville.
