Clean Air Metals and Fiore-Backed Springbok Ventures Announce Update on Proposed Transaction and Resumption of Trading of Clean Air Metals

AIR · Price

Clean Air Metals Inc. (AIR) announced that the TSX Venture Exchange has reclassified its previously announced business combination with Springbok Ventures Inc. from a "reverse takeover" to an "acquisition of Springbok by Clean Air Metals" under TSXV Policy 5.3. Following this bulletin, trading in Clean Air Metals common shares, which has been halted since August 19, 2026, is expected to resume at market open on October 7, 2026.

The transaction remains subject to TSXV approval and other conditions, with all previously announced terms unchanged. The deal will be completed via a three-cornered amalgamation under the BC Business Corporations Act. Under this structure, Springbok and a wholly owned subsidiary of Clean Air Metals (Newco) will amalgamate, with Springbok becoming a wholly owned subsidiary of Clean Air Metals. The combined company will be rebranded as Dante Metals Corp. and will focus on the Thunder Bay North Critical Minerals Project, held by Clean Air Metals, and the Maude Lake Property, held by Springbok.

Immediately prior to the amalgamation, Clean Air Metals will consolidate common shares on a 10-for-1 basis, meaning 10 pre-consolidation shares will convert into 1 post-consolidation share. Additionally, escrow terms customary for a transaction subject to Policy 5.3 are expected to apply to certain securities issued in connection with the transaction.

On September 22, 2026, Clean Air Metals closed a non-brokered private placement with the following details:

  • 10,050,000 subscription receipts at C$0.50 each.
  • 2,090,909 "flow-through" subscription receipts at C$0.55 each.
  • Aggregate gross proceeds: approximately C$6.2 million.

These subscription receipts entitle holders to receive post-consolidation common shares immediately prior to the effective time of the amalgamation, subject to escrow release conditions. Completion of the transaction is subject to TSXV approval; if not accepted, trading may be re-halted.
