Homeland Nickel Enters Agreement with USA Company, Amplifying Exposure to Strategic Holdings

None

Executive Summary

On November 13, 2025, Homeland Nickel announced it has entered into a Mineral Rights Agreement with a newly formed private USA company, Patriot Nickel Corp. Under the agreement, Homeland will option its Cleopatra and Eight Dollar Mountain nickel properties in Oregon to Patriot.

In return, Homeland will receive: - 20% of the common shares of Patriot Nickel Corp. - Staged cash payments totaling USD $1.25 million. - A commitment from Patriot to spend a minimum of USD $3.00 million on the properties over three years. - Patriot will assume 50% of the progress payments owed by Homeland to RAB Capital, which amounts to CAD $7.5 million. - Homeland will appoint one director to Patriot's board and will act as the project operator until a joint venture is formed.

To earn its 80% interest, Patriot must bring at least one of the properties to a pre-feasibility study stage. CEO Stephen Balch stated the partnership aligns with the "America First trend" and that Patriot's American management is well-placed to navigate the US regulatory system, a key challenge for the company.

Material Impact

This agreement is a material and positive development for Homeland Nickel. The company has effectively monetized and de-risked two of its key Oregon assets without incurring immediate shareholder dilution.

Company Overview

Homeland Nickel is a junior mineral exploration company focused on developing a portfolio of nickel laterite projects in a historically productive but challenging jurisdiction in Southern Oregon, USA. Its key projects include Red Flat, Cleopatra, and Eight Dollar Mountain, all of which have non-NI 43-101 compliant historical resources. The company's primary challenge has been the slow permitting process for its main assets, which are located within a "withdrawal area" designated by U.S. authorities. It also holds interests in copper and gold projects in Newfoundland through a joint venture.
