Largo Announces Closing of US$5.7 Million Registered Direct Offering
Largo raised $5.7m at $0.56 per share, underscoring persistent liquidity pressure despite an operational turnaround.

Largo Inc. (LGO) closed a registered direct offering, raising approximately US$5.7 million in gross proceeds. The company issued 10,200,000 common shares and 10,200,000 warrants at a combined price of US$0.56 per share and warrant.
Insiders, including an affiliate of Co-CEO Alberto Arias (Arias Resource Capital Fund IV LP) and Co-CEO Jim Bannantine, participated in the transaction, purchasing approximately 2.5 million shares and warrants each. The warrants carry an exercise price of US$0.70, are immediately exercisable, and expire in five years.
Proceeds from the offering are designated for working capital and paying trade creditors. The transaction is classified as a related party transaction under MI 61-101, relying on exemptions from formal valuation and minority approval as the consideration does not exceed 25% of market capitalization. H.C. Wainwright & Co. acted as placement agent.
Largo Inc. (LGO) completed a financing on September 29, following its pricing on September 25. The market had already reacted to the news, with the share price falling from $0.97 on September 24 to $0.72 on September 28. This decline reflects the approximately 25% discount to the pre-announcement price. The financing serves as a survival measure to fund working capital and pay creditors, rather than a growth capital raise. While it stabilizes near-term liquidity, it does not alter the fundamental risk profile or resolve the overhang of maturing debt.
Largo Inc. (LGO) is a primary vanadium producer operating the Maracas Menchen Mine in Bahia, Brazil. The company is diversifying its revenue stream by producing copper, platinum group metals (PGM), nickel, and cobalt as by-products of its vanadium operations.
Largo holds a 37.4% ownership stake in Storion Energy, a joint venture focused on vanadium flow battery electrolyte production. The company also owns 100% interests in the Northern Dancer Tungsten-Molybdenum property in the Yukon, Canada, and the Currais Novos Tungsten Tailing Project in Brazil, both of which are currently under strategic review.
