Auranova Announces Private Placement of Units and Flow-Through Shares
Auranova raises $4 million to fund Red Lake exploration as drilling remains stalled.

Auranova Resources Inc. has announced a non-brokered private placement aimed at raising up to $4,000,000 in gross proceeds. The offering consists of 3,333,333 flow-through common shares priced at $0.30 per share, alongside 12,000,000 units priced at $0.25 per unit. Each unit comprises one common share and one-half of one common share purchase warrant. These warrants allow for the exercise of one whole warrant for one common share at a price of $0.50 per share, with an exercise period lasting one year from the closing date.
The capital raised will be designated for general working capital and eligible Canadian and Ontario exploration expenses. Auranova will renounce flow-through tax benefits to subscribers by December 31, 2026. A 6% cash commission may be paid to eligible persons involved in the transaction. All securities issued carry a hold period of four months plus one day. The closing of the transaction is contingent upon receiving necessary regulatory approvals, including consent from the TSX Venture Exchange.
Auranova Resources Inc. (AURA) is conducting a capital raise to fund ongoing exploration activities and meet a $1.8 million flow-through spending commitment due by December 31, 2026. The transaction involves the issuance of 15.33 million new shares and warrants, resulting in approximately 20.7% dilution based on the 74.0 million shares currently outstanding.
The financing terms include a notable premium, with flow-through shares issued at approximately 25% above the recent market price of $0.24, while the unit price sits at a 4% premium. This pricing suggests underlying investor interest despite the company's recent market downtrend.
The capital does not alter the fundamental exploration status of the North Papa discovery, which remains in early targeting stages. The funds extend the company's runway to complete planned geophysical surveys and potential follow-up drilling. The market likely anticipated this financing, given the prior $1.5 million raise in April and the explicit cash burn trajectory, making the announcement incremental and expected.
Auranova Resources Inc. (AURA) is a pre-revenue junior explorer listed on the TSX Venture Exchange since March 17, 2026. Its flagship asset is the South Uchi Project in the Red Lake District, Ontario, a world-class gold camp. Auranova holds a 51% interest in the project and can earn up to 70% through additional qualifying expenditures. Partner Kenorland Minerals Ltd. manages project execution and holds a 30% carried interest plus a 2% NSR royalty.
The project is in the early exploration stage. Phase 3 drilling conducted in March and April 2026 identified the North Papa intrusion-related gold system, extending the Papaonga target footprint to approximately 7 km of strike length. Key intercepts include 122.80 m @ >0.28 g/t Au. Total qualifying expenditures to date stand at C$14.7 million.
