Amarc Closes Fully Subscribed CAD$20 Million Private Placement Financing
Amarc secured CAD$20 million to advance JOY District exploration as Freeport’s earn-in process continues.

Amarc Resources Ltd. announced the closing of a fully subscribed private placement, issuing 20,000,000 common shares at CAD$1.00 per share for gross proceeds of CAD$20,000,000. The transaction follows the initial announcement on August 24, 2026, and was completed ahead of schedule.
Proceeds are designated for future exploration expenditures at the JOY District, working capital, general corporate purposes, project investigations, and advancing the DUKE and IKE properties. Shares are subject to a four-month and one-day hold period in Canada, expiring January 10, 2027. The offering was not registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States. Agentis Capital Mining Partners acted as the financial advisor.
Amarc Resources Ltd. (AHR) completed a financing round that was fully anticipated following the August 24 announcement. The capital raise aligns with the company's stated need to fund the $20 million 2026 JOY District exploration program. While the transaction is dilutive, it is standard for an exploration-stage company with no revenue. The funding removes the near-term overhang of a pending equity raise and provides a clear runway for field operations through the remainder of 2026.
The use of proceeds directly supports the Freeport-McMoRan earn-in agreement and the Boliden JV at DUKE, ensuring operational continuity without requiring immediate additional capital. No new strategic investors or game-changing terms were introduced. Institutional participation validates the district's potential but does not alter the fundamental risk profile.
Amarc Resources Ltd. (AHR) is an exploration-stage company focused on copper-gold-silver-molybdenum deposits in British Columbia. The company has no production, revenue, or proven reserves.
Its flagship project is the AuRORA Deposit within the JOY District, a 630 km² area described as a high-grade, near-surface porphyry Cu-Au-Ag system. 2025 drilling expanded the deposit to 1.4 km by 0.8 km, showing strong continuity and open-ended potential.
The DUKE District covers 808 km² in the Babine Region and hosts a porphyry Cu-Mo-Au-Ag system. It is advanced under a 60/40 joint venture with Boliden Mineral Canada Ltd.
The IKE District, which is 100% owned, covers 532 km² and contains the historical Empress Cu-Au deposit.
