A.C.L. Construction trading on TSX-V, FSE

Mr. John McPherson reports A.C.L. CONSTRUCTION LTD. ANNOUNCES CORPORATE UPDATE A.C.L. Construction Ltd. has provided a corporate update. Business highlights TSX Venture Exchange listing Effective Feb. 23, 2026, the company's shares began trading on the TSX-V under the listing A.C.L. following a reverse takeover transaction with Samurai Capital Corp., which closed on Feb. 18, 2026. Private placement On Feb. 12, 2026, A.C.L. completed a non-brokered private placement of 10,306,074 subscription receipts at a price of 30 cents per subscription receipt for aggregate gross proceeds of $3,091,822.20. Immediately before the completion of the qualifying transaction and upon the satisfaction of certain escrow release conditions, the subscription receipts were automatically converted, for no additional consideration, into one A.C.L. share and one A.C.L. Construction common share purchase warrant, with each A.C.L. Construction warrant exercisable to purchase one additional A.C.L. share at a price of 50 cents until Feb. 18, 2029. In connection with the amalgamation, all such A.C.L. shares and A.C.L. warrants were exchanged for resulting issuer shares and warrants of the company on economically equivalent terms on the basis of the exchange ratio. No finders' fees were paid in connection with the subscription receipt financing. Frankfurt Stock Exchange listing Effective March 9, 2026, the company's common shares began trading on the FSE under the trading symbol A3L0. Highway and road intersection alignment contract A.C.L. has been identified as the preferred proponent for a highway realignment project on the Alaska Highway at Pingel Creek. The project is expected to include the construction of acceleration, deceleration and turning lanes, and the realignment of a secondary road access onto the highway, including intersection lighting, paving and line painting. Selection as preferred proponent is subject to customary procurement processes and final contract award and documentation. If awarded, the company currently estimates the gross value of the contract to be approximately $3-million and expects construction will commence during Q2 (second quarter) 2026 and continue into Q3 (third quarter) 2026.
