First Canadian investor Barton acquires 750,000 units

Mr. Robert Barton reports 2025 AUGUST EARLY WARNING REPORT PRESS RELEASE ROBERT CRAIG BARTON On Aug. 6, 2025, Robert Craig Barton personally acquired ownership of 750,000 units at eight cents of First Canadian Graphite Inc. Each unit consisting of one common share and one warrant exercisable for three years at 10 cents. The common shares and warrants were issued in connection with a private placement. Prior to the private placement, the acquiror held directly or indirectly 2,112,500 common shares and 2,112,500 warrants. As a result of the private placement, the acquiror holds directly or indirectly 2,862,500 common shares, representing approximately 11.13 per cent of the company's issued and outstanding common shares. In addition, the acquiror exercises control and direction over an additional 2,862,500 warrants. If the acquiror exercised his warrants only, he would hold directly and indirectly 5,725,000 common shares of the company, representing 20.38 per cent of the issued and outstanding shares of the company on a partially diluted basis assuming the acquiror exercises his warrants only. All securities were acquired for investment purposes. This investment will be reviewed on a continuing basis by the acquiror, and such holdings may be increased or decreased in the future. The acquiror may in the future acquire or dispose of the securities through the open market, privately or otherwise, as circumstances or market conditions warrant. The acquiror has filed an early warning report pursuant to National Instrument 62-103F1 (the Early Warning System and Related Take-Over Bid and Insider Reporting Issues) describing the above transaction with the applicable securities regulatory authorities.
