Centurion Executes Letter of Intent to Acquire the Brothers Gold Project, Suriname
Centurion targets a Merian-adjacent gold asset in Suriname despite facing severe liquidity constraints.

Centurion Minerals Ltd. has executed a non-binding Letter of Intent to acquire an 80% interest in the Brothers Gold Project in Suriname from Mega Bond International Investments Limited. The transaction structure involves escalating cash payments totaling up to US$6.5 million, share issuances valued at US$2 million, and project expenditures of US$18 million over five years.
The 9,600-hectare Brothers Gold Project is located in eastern Suriname, approximately 15 km from Newmont’s former Esperance deposit and 40 km south of Newmont’s Merian Mine. Historical work includes rock-chip/soil sampling, airborne magnetics, LiDAR, trenching, and approximately 3,000 meters of drilling, with notable intercepts including 1 m @ 20.5 g/t Au. Three geological domains are identified: Granitic, Granite-Metavolcanic Contact Zone, and Metavolcanic-Sedimentary Domain. Concession owners retain a 2.0% NSR royalty, which Centurion can purchase for a one-time payment of US$5,000,000.
Trading in Centurion’s stock (TSXV: CTN) has been halted pending the submission of required filing documents for a 'Fundamental Acquisition', with resumption expected within 30-45 days. Conditions precedent include satisfactory due diligence, execution of a definitive binding Option Agreement, and TSX Venture Exchange acceptance.
Centurion Minerals Ltd. (CTN) has announced a strategic expansion of its exploration portfolio into a highly prospective, underexplored greenstone belt located near Newmont's Merian Mine. The transaction requires a financial commitment of $6.5 million in cash, $2 million in shares, and $18 million in expenditures over five years. This outlay is significant relative to the company’s current balance sheet, which reports $7,454 in cash and negative equity.
The Letter of Intent (LOI) is non-binding and subject to TSXV approval, meaning it does not guarantee closing nor confirm the availability of capital. Consequently, the announcement signals an imminent, highly dilutive capital raise. Historical news indicates a pattern of incremental exploration updates, including Limestone project field work and helicopter surveys, alongside repeated small-scale financings such as $1 million in June 2026 and $207,500 in November 2025. The market has been pricing in a steady exploration ramp-up. While the news is positive for the exploration pipeline, it does not immediately resolve the fundamental liquidity crisis and represents a routine strategic step for a junior explorer that exacerbates existing capital constraints.
Centurion Minerals Ltd. is a pre-revenue junior exploration company focused on precious minerals in the Americas. Its flagship asset is the Limestone Gold Project, a 3,548-hectare property located in the Marowijne greenstone belt in Suriname, situated less than 40 km from Zijin Mining's producing Rosebel and Saramacca mines. The company recently terminated its Casa Berardi property option to concentrate resources in Suriname.
Exploration is led by Dr. Dennis LaPoint, P.Geo., who brings over 26 years of regional experience and was part of the team that discovered Newmont's Merian Mine. The company’s portfolio also includes the new Brothers Gold Project, which adds 9,600 hectares of acreage near Newmont's historical operations, offering a complementary exploration target with defined historical drilling and high-grade intercepts.
