Domestic Metals increases placement to $4.5-million

DOMESTIC METALS ANNOUNCES UPSIZE OF LIFE OFFERING OF UNITS
As a result of strong investor demand, Domestic Metals Corp. has increased the size of its previously announced non-brokered private placement pursuant to Part 5A of National Instrument 45-106 -- Prospectus Exemptions, as amended and supplemented by Coordinated Blanket Order 45-935 -- Exemptions from Certain Conditions of the Listed Issuer Financing Exemption.
The private placement will now be for up to 16,071,428 units of the company at a price of 28 cents per unit for aggregate gross proceeds to the company of up to $4.5-million.
Each unit to be issued under the listed issuer financing exemption will consist of one common share in the capital of the company and one common share purchase warrant of the company. Each warrant will entitle the holder thereof to acquire one common share at a price per warrant share of 40 cents for a period of three years from the date of issuance. Expiry of the warrants may be accelerated if the closing price of the company's common shares on the TSX Venture Exchange is equal to or greater than 65 cents for a minimum of 20 consecutive trading days and a notice of acceleration is provided in accordance with the terms of the warrants.
Subject to compliance with applicable regulatory requirements and in accordance with NI 45-106, the units will be offered for sale to purchasers resident in Canada, other than Quebec, pursuant to the listed issuer financing exemption. The securities so issued under the listed issuer financing exemption to Canadian subscribers will not be subject to a hold period in Canada.
There is an amended and restated offering document dated Sept. 30, 2025, related to the LIFE offering and the use by the company of the listed issuer financing exemption that can be accessed under the company's profile at SEDAR+ and on the company's website. Prospective investors should read this offering document before making an investment decision.
The LIFE offering is expected to close on or about Oct. 17, 2025, and is subject to the company receiving all necessary regulatory approvals, including the approval of the TSX-V.
The net proceeds from the LIFE offering are intended for general working capital and exploration and development costs.
