Dream Residential reminds unitholders to vote

DREAM RESIDENTIAL REIT REMINDS UNITHOLDERS TO VOTE IN ADVANCE OF PROXY VOTING DEADLINE FOR UPCOMING SPECIAL MEETING
Dream Residential Real Estate Investment Trust has reminded unitholders of the REIT and Class B unitholders of DRR Holdings LLC to vote ahead of the proxy voting deadline for the upcoming special meeting of unitholders to be held on Oct. 16, 2025, at 2 p.m. (Toronto time) for the purpose of approving the proposed acquisition of the REIT by an affiliate of Morgan Properties LP in an all-cash transaction valued at approximately $354-million (U.S.). The deadline for voting by proxy is 2 p.m. (Toronto time) on Oct. 14, 2025.
The Dream Residential REIT board of trustees, after receiving the unanimous recommendation of a special committee of independent trustees of the REIT and in consultation with its independent financial and legal advisers, unanimously determined that the transaction is in the best interests of Dream Residential REIT and fair to unitholders (other than Dream Unlimited Corp., Pauls Capital LLC and their respective affiliates), and unanimously recommends that unitholders vote for the transaction.
In light of the current Canada Post national strike, unitholders are strongly encouraged to vote on-line or by telephone. Copies of the REIT's management information circular and the related meeting materials are available under the REIT's profile on SEDAR+ and on the REIT's website under "investors -- regulatory filings" at the Dream Residential website.
Registered unitholders can contact Computershare Trust Company of Canada by telephone at 1-800-564-6253 (toll-free in North America) or 1-514-982-7555 (outside of North America) to obtain their 15-digit control number, and can vote on-line or by telephone at 1-866-732-8683 (toll-free in North America) or 1-312-588-4290 (outside of North America).
Non-registered unitholders can contact their broker or other intermediary to obtain their 16-digit control number, and can vote on-line or by telephone at 1-800-474-7493 (English) or 1-800-474-7501 (French).
While the strike continues, registered unitholders who wish to deposit their letters of transmittal, unit certificates or direct registration system advices and other required documentation, as applicable, should use courier services or hand deliver such documentation to the depositary, Computershare Investor Services Inc., at 320 Bay St., 14th floor, Toronto, Ont., M5H 4A6.

The transaction is expected to close in late 2025 following satisfaction of all conditions to closing, provided that the transaction will not close earlier than the date on which Morgan Properties obtains certain agency financing or Dec. 19, 2025, whichever date is first. The transaction is not subject to a financing condition.
