Core Critical to issue shares for debt

CORE CRITICAL METALS ANNOUNCES PROPOSED SHARES FOR DEBT TRANSACTION AND ISSUANCE OF PROPERTY SHARES
The vendors to a property option agreement executed on Oct. 13, 2022, with respect to Core Critical Metals Corp.'s CNC West property have agreed to accept an aggregate of 1,240,310 common shares in the capital of the company at a deemed price of 32.25 cents per share to settle $400,000 in exploration expenditure debt owing pursuant to the property agreement.
The debt settlement remains subject to the approval of the TSX Venture Exchange. The shares to be issued pursuant to the debt settlement will be subject to a four-month hold period pursuant to securities laws in Canada.
In addition, the company has issued the vendors an aggregate of 1,240,310 shares at a deemed price of 32.25 cents per share to satisfy the final payment obligations owing pursuant to the property agreement. These shares are subject to a four-month hold period pursuant to securities laws in Canada.
