Corporate Update

First Canadian Graphite Inc. (FCI) held its virtual annual and special general meeting of shareholders on July 7, 2026, with approximately 36.23% of outstanding shares represented. The company elected five directors to the board and appointed new officers, including the CEO, CFO, VP Exploration, and Corporate Secretary. Shareholders also approved the appointment of Smythe LLP as the company’s auditor and passed the 2026 Omnibus Share Incentive Plan.
The meeting saw 16,292,900 common shares represented, accounting for approximately 36.23% of outstanding common shares. Shareholders voted to set the number of directors at five for the ensuing year, with 97.39% voting in favor. The following directors were elected to the board:
- John LaGourgue (96.25% FOR)
- Michael Iverson (96.22% FOR)
- Rich Beaven (99.97% FOR)
- Hon. Christian Paradis (99.97% FOR)
- Alberto De Luca (99.97% FOR)
Smythe LLP, Chartered Professional Accountants, was appointed as the company’s auditor until the next annual meeting, receiving 99.84% in favor. Additionally, the 2026 Omnibus Share Incentive Plan was approved by disinterested shareholders, with 94.04% voting for and 5.96% against.
New officer appointments include John LaGourgue as Chief Executive Officer and President, Scott Kelly as Chief Financial Officer, Antoine Fournier as Vice-President Exploration, and Shelley McDonald as Corporate Secretary.
The board also established committee appointments and adopted new governance structures. The Audit Committee consists of John LaGourgue, Michael Iverson, and Alberto De Luca. The Compensation, Corporate Governance and Nominating Committee comprises John LaGourgue, Rich Beaven, and Hon. Christian Paradis. Furthermore, the board adopted and approved a Compensation, Corporate Governance and Nominating Committee Charter.
