Valhalla Announces Simplification of Capital Structure

Valhalla Metals Inc. has completed the simplification of its dual-class share structure by eliminating the multiple voting shares (MVS) class and renaming subordinate voting shares (SVS) as "Common Shares." This corporate action follows the conversion of all outstanding MVS into SVS on June 1, 2026, and the subsequent shareholder approval of the special resolution at the company’s annual general meeting on June 30, 2026.

The change was approved by the board of directors on July 7, 2026. Under the new capital structure, the authorized share capital consists of an unlimited number of Common Shares with no par value. There are currently 151,140,901 Common Shares issued and outstanding, none of which are subject to escrow restrictions.

Common Shares are scheduled to begin trading on the TSX Venture Exchange under a new CUSIP and ISIN on July 10, 2026. The stock symbol (VMXX) remains unchanged. The new identifiers are as follows:

  • New CUSIP: 91914U206
  • New ISIN: CA91914U2065

Registered shareholders holding certificates or Direct Registration System (DRS) statements do not need to take further action, as existing documents remain valid. Beneficial holders are advised to contact their brokerage regarding the change.
