On December 2, 2025, Fuerte Metals announced its intention to complete a C$15,000,000 private placement of flow-through common shares. The financing is structured in two tranches: - $5,000,000 from the sale of 952,380 flow-through shares at a price of C$5.25 per share. - $10,000,000 from the sale of 1,655,620 "special" flow-through shares at a price of C$6.04 per share.
The gross proceeds will be used to incur eligible Canadian exploration expenses related to the company's newly acquired Coffee Gold Project in the Yukon, with the funds to be spent on or before December 31, 2026. The offering is being co-led by a syndicate of agents including Stifel, BMO, and National Bank Financial.
This financing is a material and highly positive event for Fuerte Metals. Coming just six weeks after closing the transformational acquisition of the Coffee Gold Project, it provides several key benefits:
- Favourable Pricing: The financing is priced at C$5.25 and C$6.04 per share, representing a significant premium of 15% and 32%, respectively, to the previous day's closing price of C$4.57. Raising capital at such a premium is a strong indicator of high institutional demand and confidence in the project's potential and the new management team.
- Fully Funds Exploration: The C$15 million in gross proceeds fully funds the company's planned exploration and project advancement activities for 2026, leading up to a construction decision in 2027. This removes any near-term financing overhang and allows the team to focus on execution.
- De-risking and Momentum: This successful, premium-priced financing solidifies the company's transition. Fuerte has now acquired a tier-one asset, installed a world-class management team, and secured the necessary capital to advance the project through its next critical milestones (PEA and updated Feasibility Study).
- Strategic Use of Flow-Through: By utilizing flow-through shares, the company can fund its Canadian exploration activities while minimizing dilution for non-G&A purposes.
Historically, the company was focused on earlier-stage exploration in Mexico and Chile. The September 15, 2025 announcement of the Coffee Project acquisition was a complete pivot and a game-changer. The subsequent C$57.5M financing at C$1.65 was essential to close that deal. This new C$15M financing at a much higher valuation builds on that momentum and confirms the market's positive reception to the company's new direction. The projections made at the time of the acquisition (PEA in H1 2026, FS in H2 2026) are now fully funded.
Fuerte Metals Corporation has recently transformed from a junior explorer with assets in Mexico and Chile into a well-funded, Canadian-focused gold development company.
The company's flagship asset is now the Coffee Gold Project, located in the Yukon, Canada. Acquired from Newmont Corporation in October 2025, Coffee is an advanced-stage, shovel-ready, open-pit heap leach project. It boasts a large resource of 3.0 million ounces of gold in the Measured & Indicated category (80 Mt @ 1.15 g/t Au) and 0.8 million ounces in the Inferred category. The project has already received a positive Yukon Environmental and Socio-economic Assessment (YESAA) decision, significantly de-risking the permitting timeline. The company plans to publish an updated PEA and Feasibility Study in 2026, targeting a construction decision in 2027.
