Forty Pillars Mining closes $535,500 private placement

FORTY PILLARS ANNOUNCES CLOSING OF NON-BROKERED PRIVATE PLACEMENT
Forty Pillars Mining Corp. has closed its previously announced non-brokered private placement offering by issuing 10.71 million units at a price of five cents per unit for aggregate gross proceeds of $535,500.
Each unit comprises one common share in the capital of the company and one transferable share purchase warrant. Each warrant entitles the holder to acquire an additional share at a price of 10 cents per share until March 2, 2028. The company previously announced that the warrants would be exercisable for a period of 60 months from the date of issuance. However, those warrants will now be exercisable for a period of 24 months from the date of issuance (until March 2, 2028). All other terms of those warrants remain unchanged.
The company paid aggregate cash finders' fees of $32,580 and issued an aggregate of 651,600 warrants to eligible finders in connection with the offering. Each finder's warrant entitles the holder to acquire an additional share at a price of 10 cents per finder warrant share until March 2, 2028.
The proceeds raised from the offering are expected to be used for working capital and general corporate purposes. All securities to be issued under the offering will be subject to a four-month hold period in accordance with applicable Canadian securities laws and the policies of the Canadian Securities Exchange. Completion of the offering is subject to certain conditions, including the receipt of all necessary approvals, including the approval of the CSE.
