KO Gold arranges $2-million private placement

Mr. Greg Isenor reports KO GOLD ANNOUNCES NON-BROKERED PRIVATE PLACEMENT FOR GROSS PROCEEDS UP TO C$2,000,000 KO Gold Inc. has arranged a non-brokered private placement of up to 10 million units at a price of 20 cents per unit for gross proceeds of up to $2-million. Each unit will consist of one common share and one transferable common share purchase warrant. Each warrant will entitle the holder to acquire one additional share at a price of 25 cents for a period of two years from the date of issuance. The company intends to use the net proceeds from the private placement for general working capital purposes and to finance continuing exploration drilling programs in the Otago gold district in New Zealand. Drilling is planned initially on the Smylers permit to test for continuity of mineralization intersected in previous drilling. Drilling is also planned for the Carrick permit to validate previous historic significant gold intersections with twin and stepout holes. The company anticipates closing the private placement on or about Nov. 14, 2025. Finders' fees in the form of cash and/or warrants, on the same terms as those issued in the private placement, may be paid to qualified parties in connection with the offering. All securities issued pursuant to the private placement will be subject to a statutory hold period of four months and one day from the date of issuance. About KO Gold Inc. KO Gold is a Canadian junior exploration company listed on the Canadian Securities Exchange under KOG. The company's strategy is to acquire and explore highly prospective gold properties within the Otago gold district in New Zealand. KO Gold presently has four 100-per-cent-owned prospecting and exploration permits (EPs) within the Otago gold district for a combined land package of 400 square kilometres. The company's Smylers, Hyde and Glenpark EPs are located adjacent to Oceanagold's Macraes gold mine and the Carrick EP hosts the historic Carrick goldfield, which holds promise as a significant gold deposit near Santana Minerals' Bendigo-Ophir gold project. The company also has a net smelter return royalty on three additional permits (Garibaldi, Raggedy Range and Rough Ridge South) totalling 340 square kilometres. KO Gold has spent over $3-million in exploration and drilling on its permits in the Otago gold district over the past five years, including RC (reverse circulation) and diamond drilling on its Smylers EP.
