ThreeD Capital closes $360,000 private placement

COMPLETES PRIVATE PLACEMENT FINANCING ThreeD Capital Inc. has closed its previously announced private placement financing, pursuant to which it has issued an aggregate of six million units of the company in exchange for total gross proceeds of $360,000 or six cents per unit. Each unit issued as part of the private placement comprises one common share and one common share purchase warrant. Each whole warrant entitles the holder thereof to acquire one common share of the company at an exercise price of 15 cents per common share for a period of 60 months. No commission or finders' fees were paid as part of the private placement. No insiders of the company are expected to participate in the private placement. All securities issued and issuable in connection with the private placement will be subject to a four-month-and-one-day hold period expiring on Jan. 24, 2026.
