Fidelity Minerals to issue 3.36 million shares for debt

Mr. Ian Graham reports FIDELITY ANNOUNCES SHARES FOR DEBT SETTLEMENT Fidelity Minerals Corp. has agreed to issue an aggregate 3,361,344 common shares in the capital of the company at a deemed price per common share of 13 cents to settle approximately $436,975 in debt owed to Lions Bay Capital Inc. Lions Bay is a major shareholder of the company and has provided continued support in the form of unsecured non-interest-bearing advances to support the company until it secured financing on Oct. 7, 2025. The shares for debt settlement represents the total amount owed to Lions Bay. The board of directors and management of the company believe that the proposed shares for debt settlement is in the best interests of the company because it allows the company to preserve its funds for operations. The shares for debt settlement is subject to TSX Venture Exchange approval. The settlement shares will be subject to a statutory four-month hold period from the date of issuance. The debt settlement will be a "related party transaction" under Policy 5.9 of the TSX Venture Exchange and Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions.
