Defence arranges $1.2-million debenture unit offering

Mr. Sebastien Plouffe reports DEFENCE THERAPEUTICS ANNOUNCES DEBENTURE UNITS FINANCING Defence Therapeutics Inc. has arranged a non-brokered private placement of debenture units at a price of $1,000 per unit for aggregate gross proceeds of up to $1.2-million. Each unit will consist of: (i) one $1,000 principal amount of 8.0 per cent convertible debenture; and (ii) 1,666 common share purchase warrants. The debentures will bear interest at 8.0 per cent per annum and will mature two years following the issue date. The debentures are unsecured and will rank pari passu in right of payment of principal and interest with all the existing and future unsecured indebtedness of the company. The principal amount of each debenture will be convertible at the option of the holder into common shares in the capital of the company at the conversion price of 60 cents per common share. The accrued interest of the debentures will be paid annually in shares at the conversion price or in cash at the company's election. Each warrant will be exercisable to acquire one common share at an exercise price of 75 cents per warrant share for a period of two years from the issue date. All securities issued in connection with the offering will be subject to a statutory hold period of four months and one day following the closing date of the offering in accordance with applicable securities legislation. Completion of the offering is subject to a number of conditions, including, but not limited to, the receipt of all regulatory approvals. The company may pay a finder's fee in connection with the offering to eligible arm's-length finders in accordance with the policies of the Canadian Securities Exchange.
