Bombardier closes $250M (U.S.) senior note offering

Mr. Francis Richer de La Fleche reports BOMBARDIER ANNOUNCES CLOSING OF ITS OFFERING OF ADDITIONAL 6.75% SENIOR NOTES DUE 2033 Bombardier Inc. has successfully closed its previously announced offering of $250-million (U.S.) aggregate principal amount of senior notes due 2033. The additional notes constitute a further issuance of, and form a single series with, the existing $500-million (U.S.) aggregate principal amount of Bombardier's 6.750 per cent senior notes due 2033 that were originally issued on May 29, 2025. The additional notes carry a coupon of 6.750 per cent per annum, mature on June 15, 2033, and were sold at a price of 103.500 per cent plus accrued interest from, and including, May 29, 2025 to, but excluding, the issue date of the additional notes. Bombardier intends to use the proceeds of the offering of the additional notes, together with cash on hand: (i) to finance the repayment and/or retirement of outstanding indebtedness, including the redemption of all of its remaining outstanding 7.125 per cent senior notes due 2026 and the redemption of approximately $84-million (U.S.) aggregate principal amount of its outstanding 7.875 per cent senior notes due 2027; and (ii) to pay accrued interest and related fees and expenses. As of the date hereof, prior to giving effect to these redemptions, there is $166,289,000 (U.S.) aggregate principal amount outstanding of the 2026 notes and $183,142,000 (U.S.) aggregate principal amount outstanding of the 2027 notes. The redemption date for the 2026 notes and the 2027 notes is Oct. 4, 2025, in accordance with the notices of redemption issued by Bombardier on Sept. 4, 2025, with payments expected to be completed on Oct. 6, 2025.
