Auston Capital appoints directors, arranges financing

AUSTON CAPITAL CORP. ANNOUNCES RESIGNATION OF MARK FEKETE AS DIRECTOR, CEO AND CFO, ARRANGES $100,000 PRIVATE PLACEMENT
Auston Capital Corp.'s Mark Fekete has resigned as director, chief executive officer and chief financial officer. Mr. Fekete resigned to focus on other professional opportunities. The board of directors extends its gratitude to Mr. Fekete for his contributions and leadership, and wishes him continued success. Zachery Dingsdale, a director of the company, will assume the role of interim CEO and Steve Smith, a director of the company, will assume the role of interim CFO.
Concurrently, the company is pleased to announce the proposed appointment of Dean Tyliakos as CEO and director, and David Barnett as CFO and director, subject to the approval of the TSX Venture Exchange and the company's shareholders at an annual general meeting of the company to be held on Oct. 27, 2025.
The company also announces that it has arranged a private placement to raise up to $100,000 through the sale of two million common shares at a price of five cents per share. Proceeds will be used for seeking qualifying transactions and general working capital. The placement is subject to the approval of the TSX Venture Exchange. Finders' fees may be payable in accordance with the policies of the TSX-V.
About Dean Tyliakos, CEO and director
Mr. Tyliakos is the founder and president of Yellowhead Equipment Finance Ltd., a commercial finance company operating since 2012. He was also the co-founder and former vice-president of credit at Patron West Inc. With over 22 years of experience in the equipment financing sector, Mr. Tyliakos has facilitated more than $750-million in equipment lease and finance transactions. He has developed strategic financing partnerships with publicly traded finance companies, major banks and securitization firms. Mr. Tyliakos earned a bachelor of commerce (finance) from the Northern Alberta Institute of Technology in 1996. He also serves as a director of Ztest Electronics Corp.
About David Barnett, CFO and director
Mr. Barnett is a finance and risk management professional with more than seven years of experience in evaluating manufacturing operations, product liability and business continuity. He has over six years of capital markets experience at BMO Nesbitt Burns in both investment banking and corporate treasury roles. He also brings five years of project supervision experience and over 25 years as a successful microcap investor. Mr. Barnett holds a bachelor of business administration from Simon Fraser University and is a CFA charterholder. He currently serves as a director of Ztest Electronics.
