BEDFORD METALS ANNOUNCES CLOSING OF PRIVATE PLACEMENT AND COMPLETES ACQUISITION OF UBIQUITY LAKE AND SHEPPARD LAKE URANIUM PROJECTS
Bedford Metals Corp. has closed a non-brokered private placement of 3,333,335 flow-through common shares of the company at a price of 30 cents per share for gross proceeds of $1,000,000.50. In connection with closing of the offering, the company issued 333,333 common shares at a deemed price of 20 cents per share to an arm's-length party that assisted in introducing subscribers to the offering. All securities issued in connection with the offering are subject to restrictions on resale until Feb. 24, 2026, in accordance with applicable securities laws.
The company also announces that it has completed the previously announced acquisition of the Ubiquity Lake and Sheppard Lake uranium projects through the issuance of 3.05 million common shares at a deemed price of 22.5 cents per share to satisfy the remaining payment obligations owing. The company now owns both the Ubiquity Lake and Sheppard Lake uranium projects, subject to continuing royalty obligations.
All common shares issued in connection with the acquisition of the projects are subject to restrictions on resale until Feb. 24, 2026, in accordance with applicable securities laws.
