Total Metals amends LIFE offering, private placement

TT REVISES LIFE OFFERING AND PRIVATE PLACEMENT
Total Metals Corp. has revised the terms of its contemplated listed issuer financing offering and concurrent private placement, as previously described in its Sept. 24, 2025, news release.
The LIFE (listed issuer financing exemption) offering will now consist of a non-brokered minimum financing of $8-million and a maximum of $8.7-million, through the issuance of a minimum of 13,333,333 units and a maximum of 14.5 million units, with each LIFE unit consisting of one common share and one common share purchase warrant. Each LIFE warrant will be exercisable 60 days after issuance for a period of 36 months at a price of $1 per LIFE warrant. The company has filed an amended and restated offering document reflecting these changes. The offering document can be found on the company's SEDAR+ profile and on the company's website.
The private placement will now consist of a non-brokered financing of up to $1.3-million, through the issuance of a minimum of 2,166,666 units, with each non-LIFE unit consisting of one common share and one common share purchase warrant. Each non-LIFE warrant will be exercisable for a period of 36 months at a price of 90 cents per non-LIFE warrant. The non-LIFE units will be offered to accredited investors, as defined under National Instrument 45-106, Prospectus Exemptions .
