Garibaldi Resources increases financing to $1.5-million
Garibaldi pivots to a smaller private placement amid weak capital markets.

Garibaldi Resources Corp. has increased the size of its non-brokered private placement from $1.0 million to $1.5 million in gross proceeds. The offering consists of units priced at $0.07 each, with each unit comprising one common share and one common share purchase warrant. Warrants are exercisable at $0.10 per share for a three-year term following closing. Proceeds will fund exploration and working capital. The financing follows the cancellation of a larger Listed Issuer Financing Exemption (LIFE) offering that targeted $2.2 million to $3.3 million at $0.11 per unit.
Garibaldi Resources Corp. (GGI) has moved from a targeted $2.2 million to $3.3 million LIFE offering to a $1.5 million private placement, a shift that underscores execution difficulties and a constrained capital market environment for junior exploration companies. The financing is dilutive, adding up to 21,428,571 new shares and warrants to the capital structure.
The $0.07 unit price represents a premium to the current $0.06 market price but reflects a significant step-down from the previously targeted $0.11 price. While the capital raise is necessary to address a $3.44 million working capital deficiency and fund near-term operations, it does not introduce new exploration catalysts or revenue streams.
Garibaldi Resources Corp. (GGI) is an exploration-stage company focused on the Golden Triangle region of British Columbia. The firm’s flagship asset is the Eskay Creek Claim Group, which encompasses the E&L Nickel Mountain discovery, a nickel-copper-cobalt deposit, and the Casper Project, characterized by high-grade gold quartz veins.
The company currently generates no revenue and relies entirely on equity financings to fund its operations. Historical drilling at the E&L site has identified high-grade massive sulfide intercepts, including 16.75m @ 8.29% Ni and 4.24% Cu. Additionally, the Casper project has returned high-grade gold intercepts, such as 10.15g/t Au over 4.5m.
