Sandfire Resources America Inc. Announces Strategic Review
Sandfire has appointed RBC as advisor to explore a sale of its Black Butte project, with no timetable set for the process.

Sandfire Resources America Inc. announced on October 26, 2026, that its Board has initiated a review of strategic alternatives to "advance the Black Butte Project and maximize value for all shareholders." The scope of the review explicitly "may include, but is not limited to, a sale of the Company." A Special Committee of independent directors has been formed to oversee the process, with RBC Capital Markets engaged as financial advisor to the Company and Fasken Martineau DuMoulin LLP serving as legal advisor to the Special Committee.
The release states that the Company "has not set a timetable" and will not disclose developments "unless and until the Board has approved a specific transaction." It further cautions that the engagement of advisors "should not be viewed as an indication that any specific action, transaction or agreement will be pursued."
Sandfire Resources Limited "has expressed its support for the Strategic Review and its intention to continue supporting the Company in executing its current business plan." The company did not disclose its ownership percentage in the release or in any provided material.
No operational changes, project halts, or data revisions accompany the announcement. The Company's bridge loan is owed to Sandfire B.C. Holdings (Australia) Pty. Ltd., which was described in May 2026 releases as the largest shareholder.
Sandfire Resources America Inc. (SFR) has initiated a strategic review of the company, marking the first time the firm has publicly opened itself to a sale. This development follows a series of technical updates and financing adjustments aimed at advancing the Johnny Lee and Lowry copper projects. The company reported C$478,715 in cash and a C$92.7 million current-liability position as of June 30, 2026, while maintaining a flat share count of 1,023,352,794.
The strategic review comes after an updated Preliminary Feasibility Study (PFS) released in July 2026 expanded the project’s scope to include the Lowry deposit. The updated study extended the mine life from eight to 12 years and increased combined probable reserves to 14.3 million tonnes at 2.6% copper, containing 370,000 tonnes of copper. Average annual production rose to approximately 31,000 tonnes of copper, up from 29,000 tonnes. The study maintained the initial capital expenditure at US$474 million. At a copper price of US$4.70 per pound, the post-tax net present value at an 8% discount rate (NPV8%) increased to US$126 million, with an internal rate of return (IRR) of 13.3%. At US$6.00 per pound, the NPV8% reached US$516 million with an IRR of 26.3%.
However, the integration of the Lowry resource resulted in higher per-pound production costs. Direct cash costs rose from US$2.56 to US$2.68 per pound, and all-in sustaining costs (AISC) increased from US$2.83 to US$3.04 per pound. The Lowry mineral resources and reserves are lower grade than the original Johnny Lee resource. The Lowry measured and indicated resources grew from 6.6 million tonnes at 2.4% copper to 17.9 million tonnes at 1.4% copper, containing 248,000 tonnes of copper. Of this, 4.7 million tonnes at 2.1% copper were converted to reserves.
The company has previously relied on bridge financing to fund operations. A sixth variation to the bridge loan, announced in late May 2026, increased borrowing capacity from US$59.5 million to US$65.3 million and extended the maturity date from June 30, 2026, to December 31, 2026. No securities were issuable under this variation.
The updated PFS was filed on SEDAR+ in late July 2026. The base-case NPV8% of US$126 million is below the company’s market capitalization of approximately C$256 million. The strategic review includes an explicit sale option, though no bidder, price, or timetable has been identified. The release noted that no action may result from the review.
