Morien Announces Strategic Aggregate Royalty Alliance with Rife Royalties
Morien’s non-binding Rife alliance adds capital-light royalty growth optionality.

Morien Resources Corp. (MOX) announced on October 26, 2026, that it has signed a non-binding term sheet with Rife Royalties Ltd. to form a strategic alliance aimed at acquiring royalties on construction aggregate production in the United States and Canada. Rife Royalties is described as being wholly owned by one of Canada's largest single-employer pension funds and ranks among North America's largest private energy and mining investment companies.
Under the proposed arrangement, Morien will identify, evaluate, and introduce qualifying royalty opportunities, while Rife provides the acquisition capital. In return, Morien earns a direct beneficial interest alongside Rife in each royalty acquired. The company may earn up to an 8% beneficial interest per royalty without contributing acquisition capital. This interest consists of 4% at closing on the same economic terms as Rife, plus up to a further 4% if the royalty meets certain performance criteria.
The alliance is expected to begin with a 12-month trial period and will auto-extend for 24 months if acquisition thresholds are met or by mutual agreement. During the trial, Morien and Rife will share agreed sourcing and evaluation costs 50/50, subject to an approved budget.
The release explicitly states that the term sheet is non-binding except for confidentiality, termination, and general provisions, and is subject to a definitive agreement. There is no assurance that a definitive agreement will be executed, that any opportunity will result in an acquisition, or that Morien will earn any royalty interest. The company did not disclose the dollar value of capital Rife will deploy, named opportunities, specific royalty rates beyond Morien's interest, a timeline for a definitive agreement, or how the 4% performance tranche is measured.
Morien restated its capital structure in the release, reporting 60,180,889 shares outstanding and 62,330,889 fully diluted.
Morien Resources Corp. (MOX) announced a strategic partnership with a pension-fund-owned royalty and investment vehicle, marking a genuine, previously unannounced development rather than a routine follow-up. The company states that the counterparty is a serious capital partner, which serves as validation of Morien’s sourcing model. Under the proposed structure, Morien would earn up to an 8% interest without deploying acquisition capital and would share only 50% of sourcing and evaluation costs. This arrangement is consistent with the company’s "partner-driven" model and expands the opportunity set beyond its three existing assets: Donkin, Lazy Head, and Black Point.
The release emphasizes that the agreement is non-binding and that no royalty may ever be earned. There is no specified capital commitment size, target acquisition count, or near-term revenue projection. The alliance creates a cost obligation for Morien, requiring 50/50 sourcing and evaluation expenses and management time with no guaranteed return.
This development fits a pattern of Morien announcing partnership-driven optionality, such as the Carver partnership for Lazy Head in 2025 and the Rife royalty sourcing deal in 2026, while the revenue-generating base remains stalled. According to the Q2-2026 MD&A, the company reported zero royalty revenue from Donkin, Black Point remains pre-FID, and the dividend has been suspended. The Rife deal does not alter this near-term reality, adding a fourth growth thread to a company that has yet to monetize its first three assets.
Morien Resources Corp. (TSX-V: MOX) is a Nova Scotia-based royalty and mining development company founded in 2012. The firm maintains a lean structure that prioritizes long-life bulk-commodity royalties alongside established operators.
The company’s portfolio includes the Donkin Mine in Cape Breton, Nova Scotia, which carries a 2%-4% production royalty on steelmaking coal. More than $250 million has been invested in the mine since 2015, with a projected life of more than 25 years. The asset is currently idled and undergoing a sale process. The company anticipates an annual royalty of $5 million to $20 million when the mine is producing.
Morien also holds interests in two aggregate projects in Guysborough County, Nova Scotia. The Lazy Head Aggregate Project, a granite quarry and marine terminal, is advanced under a 2025 alliance with Carver Companies. Carver funds capital and operating expenses, while Morien receives a milestone payment on permitting plus a production royalty over an approximately 85-year life, according to October 2026 filings. The Black Point Aggregate Project involves a 75-year aggregate royalty held with Vulcan Materials. The asset is fully permitted but is awaiting Vulcan’s development decision, during which time Morien is receiving advanced minimum royalty payments.
