Yorbeau Creates a Base Metal Company
Yorbeau spins out its Scott Lake asset into a standalone vehicle amid depleted cash reserves and stalled exploration.

Yorbeau Resources Inc. announced the creation of a wholly owned subsidiary, Chibougamau Metals Inc. (CMI), to serve as a dedicated vehicle for the development of its Scott Lake Property. The Scott Lake Property will be transferred to CMI, which will hold 100% ownership.
Management appointments include Terry Kocisko as CEO and George Bodnar Jr. as President & CFO. The transaction is conditional on legal and tax structuring, financial analysis, funding structure determination, board and management settlement, and regulatory approvals.
Yorbeau intends to explore financing alternatives for CMI, with no assurance that CMI securities will be listed on any exchange. Additionally, SLR Consulting has been engaged to provide technical recommendations and update metal resources based on current market prices.
Yorbeau Resources Inc. (YRB) executed a spin-out to isolate the Scott Lake asset, a structural maneuver likely intended to facilitate a future partnership, joint venture, or sale. This move aligns with management’s stated pivot in the Q2 2026 MD&A to seek third-party partners or acquirors. The announcement is considered incremental and expected, given the company’s cash depletion and lack of near-term drilling plans for Scott Lake in 2026.
The lack of listing assurance for CMI and the conditional nature of the transaction limit immediate market impact. The move does not provide immediate capital or operational progress; it is a preparatory step for future financing or divestiture.
Yorbeau Resources Inc. is a Canadian exploration company focused on base and precious metals in Quebec. Its flagship asset is the Scott Lake Property, located approximately 20 km west of Chibougamau, Quebec. The property comprises three blocks—Ouje, Thundermin, and Scott-Diagold—and hosts a zinc-copper deposit. The company also holds other properties, including Beschefer, Selbaie West, and Allard, located in the Selbaie mining district and Casa Berardi corridor.
The company remains exploration-focused with no production. Management has paused 2026 drilling on Scott Lake to pivot toward partnership and acquisition discussions. SLR Consulting has been engaged for resource updates.
