Labrador Gold Announces Upsize of Non-Brokered Private Placement to up to $7 Million
LabGold scales up its $7 million flow-through financing to fund exploration across its Yukon and Ontario projects.

Labrador Gold Corp. has increased the maximum size of its previously announced non-brokered private placement from $4 million to $7 million. The offering consists of common and flow-through shares priced at $0.05 per share. The transaction is led by existing insiders Matachewan Consolidated Mines and McChip Resources.
The first tranche of $2.13 million closes on October 15, 2026, with the second tranche closing on October 23, 2026. Proceeds will fund Canadian exploration expenses through flow-through mechanisms, as well as general corporate and exploration purposes. Four insiders will subscribe for $585,000. Securities carry a four-month and one-day hold period.
Labrador Gold Corp. (LAB) has upsized its offering, a move that reflects strong insider and lead investor confidence and validates the company's strategic pivot to a hybrid exploration/investment model. The $0.05 offer price represents a ~17% discount to the recent trading range of $0.06-$0.07, which may cause short-term selling pressure but secures necessary capital for the Watson and Mariposa projects.
The transaction is a direct follow-up to the September 17 announcement and does not introduce new strategic risks or opportunities beyond capitalizing the existing exploration plan. Dilution is material, with up to 140M new shares issued, but the company holds $13.74M in cash, reducing immediate liquidity risk.
Labrador Gold Corp. is transitioning from a pure exploration junior to a hybrid mining and investment issuer. Its flagship qualifying property is the Hopedale Gold Project in the Florence Lake greenstone belt in Labrador, which carries a 2% NSR royalty.
Strategic assets include the Watson Property, comprising 127,100 hectares in Ontario's Fort Hope greenstone belt, held via an 80%-owned joint venture with Nemo Resources, and the Mariposa/Eureka Dome projects in Yukon's White Gold District, acquired via an option agreement. The company also holds a ~10.9% non-diluted equity stake in Northern Shield Resources and a $1.41M investment in San Cristobal Mining, the operator of a major silver-zinc-lead mine in Bolivia.
Management, led by CEO Roger Moss, emphasizes a systematic exploration strategy applied to underexplored greenstone belts, leveraging past successes at the Kingsway property.
