Green Shift Commodities Enters Definitive Agreement to Sell Los Altares Project to Myriad Uranium for Cash Shares and Royalty

Green Shift Commodities sold its Los Altares asset to Myriad for cash, equity, and a royalty.

Executive Summary

Green Shift Commodities Ltd. has entered into a definitive share purchase agreement to sell its wholly-owned Argentine subsidiary, Buenavida Metales S.A., which holds the Los Altares Project, to Myriad Uranium Corp. The transaction consideration includes C$300,000 in cash, C$700,000 in Myriad common shares issued at a deemed price of C$0.4455 per share, and a 2% net smelter returns (NSR) royalty on the Los Altares Project.

Buenavida retains the right to repurchase 50% of the royalty for C$1,000,000 in cash, which would reduce Green Shift's royalty to 1%. Closing is expected on or before November 13, 2026, subject to TSX Venture Exchange and Canadian Securities Exchange approvals. The Los Altares Project comprises approximately 55,000 hectares in Central Chubut, Argentina.

Material Impact

Green Shift Commodities Ltd. (GCOM) has executed a transaction that continues its strategy of monetizing Argentine assets to fund operations and build strategic equity positions in the uranium sector. The total consideration, comprising C$1.0M in cash, equity, and royalty, is modest relative to the company's market capitalization and its recent Q1 2026 financial position.

The move follows the February 2026 IPO of Jaguar Uranium, in which Green Shift holds approximately 20%, and the Q1 2026 sale of the Berlin Project. Given the company's pre-revenue status and accumulated deficit, the market likely anticipated further asset monetization.

The deal provides immediate liquidity of C$300k in cash and exposure to Myriad Uranium's upside, while retaining a royalty stream. The news is expected and aligns with prior management commentary regarding the pursuit of strategic investors, joint ventures, and asset sales.
