Osisko Gold Closes Previously Announced US$30 million Strategic Equity Investment by Trafigura

ODV · Price

Osisko Gold Group Inc. announced the closing of a previously announced equity investment by Urion Investments Holdings Limited, an affiliate of Trafigura Canada Limited. Under the terms of the transaction, the company issued 9,554,141 common shares at US$3.14 per share, generating gross proceeds of approximately US$30 million. The issuance represented a 10% premium to the five-day volume weighted average price (VWAP) on the TSX Venture Exchange prior to signing.

The net proceeds from the transaction are intended for the development of the Cariboo Gold Project. Urion entered into a voting support agreement to vote its shares in accordance with board and management recommendations, subject to customary standstill and lock-up provisions that restrict the acquisition or disposal of shares for specified periods. Additionally, the shares are subject to a hold period of four months and one day from the date of issue under Canadian securities laws.

Following completion, the company expects to have 315,809,214 common shares issued and outstanding, with Urion holding approximately 3.0% on a non-diluted basis. No finder's fees or commissions were payable in connection with the transaction. The deal remains subject to final acceptance by the TSX Venture Exchange.

Negotiations toward a definitive agreement for a potential prepayment facility of up to US$120 million remain ongoing.
