Zacatecas Silver Signs Option to Acquire the Lourdes Gold-Silver Project from Guanajuato Silver
Guanajuato monetizes early-stage Lourdes while core Bolanitos integration faces cost headwinds.

Zacatecas Silver Corp. has signed an option agreement to acquire a 100% interest in the Lourdes gold-silver project from Guanajuato Silver Company Ltd. (GSVR). The total consideration for the transaction is US$825,000, structured as US$225,000 in cash and US$600,000 in GSVR common shares, payable over two years upon the achievement of specific milestones.
The Lourdes project comprises a 509-hectare low sulphidation epithermal vein system located in Guanajuato, Mexico. Historical exploration consists of seven shallow drill holes completed between 2003 and 2004, which yielded poor recovery; no current mineral resources are defined for the property.
GSVR retains a 2.0% net smelter return (NSR) royalty, which was granted to its subsidiary Mina Bolanitos. The company holds the right to reduce this royalty to 1.0% for a payment of US$1,000,000. Additionally, an existing 3.0% NSR on the property is subject to a US$2,000,000 buyout option.
The transaction remains subject to approval by the TSX Venture Exchange. It represents a minor asset monetization for GSVR with no immediate operational impact on its producing portfolio.
Guanajuato Silver Company Ltd. (GSVR) received an option consideration of US$825,000, a figure that is immaterial relative to the company’s approximately $350 million market capitalization and roughly $42.5 million in quarterly revenue. The transaction does not alter producing operations, reserve bases, or cash flow generation, representing a routine divestiture of an early-stage, non-core exploration asset. Market reaction is likely neutral, as the move does not re-rate the business or signal a strategic pivot, but rather generates minor cash and preserves optionality on a low-grade, untested target.
Guanajuato Silver Company Ltd. operates five producing precious-metals mines in Mexico’s Guanajuato and Durango states: Bolanitos, San Ignacio, Valenciana, El Cubo, and Topia. The company’s strategy centers on a hub-and-spoke processing model designed to maximize mill utilization and reduce haulage costs. Its operations focus on silver, gold, lead, and zinc, with a macro backdrop supported by a silver supply deficit and solar demand.
Infrastructure includes the Bolanitos mill, which has a capacity of 1,600 tpd. The El Cubo mill operates at 721 tpd with 66% utilization, while the Topia mill runs at 151 tpd with 60% utilization.
