Generation Mining Announces Acquisition of Shares of Elton Resources Corp.
Generation closes its Elton stake acquisition, finalizing Marathon’s $1.3 billion construction financing for the project.

Generation Mining Limited (GENM) completed a qualifying transaction with Chicane Capital I Corp. and Elton Resources Corp., acquiring 39,268,426 common shares of Elton. The acquisition grants GENM approximately 19.94% ownership of Elton on an undiluted basis, marking its first direct equity stake in the entity.
The transaction fulfills an asset purchase agreement dated December 20, 2022, under which Elton assumed the rights and obligations of GENM regarding a 2009 concession agreement. GENM acquired the shares for investment purposes and retains the option to purchase additional shares or dispose of holdings based on market conditions. An early warning report was filed with applicable securities commissions.
Generation Mining Limited (GENM) has completed the closing of a previously announced strategic transaction, originally detailed in the May 27, 2026 merger agreement between Chicane and Elton. No new cash outlay was required for the deal, as the shares were issued as consideration under the 2022 agreement.
The acquisition does not alter the core capital story, as GENM already secured its fully financed $1.3B construction package for the Marathon project in mid-September 2026. The market had priced in this strategic land and asset play, making the closing an incremental and expected event.
Generation Mining Limited is developing the Marathon Copper-Palladium Project, a 100%-owned, fully permitted, and shovel-ready open-pit mine located in Northwestern Ontario. The site is strategically positioned on the Trans-Canada Highway and CPR main rail line, with adjacent commercial airport access and a revitalized port.
A Feasibility Study effective November 1, 2024, projects a 13-year mine life with a net present value of $1.07 billion at a 6% discount rate, an internal rate of return of 28%, and a 1.9-year payback period. Estimated life-of-mine production includes:
- ~2.16M oz Palladium
- 532M lbs Copper
- 488K oz Platinum
- 160K oz Gold
- 3.05M oz Silver
The project is classified as a critical minerals asset, aligning with Canadian government and strategic investor mandates.
