Tier One Silver Advances Ruta de Cobre Transaction and Revises Financing
Tier One slashed financing for its Ecuador acquisition amid a cash crunch, raising funding risk for the project.

Tier One Silver Inc. (TSLV) has amended its previously announced best-efforts private placement, reducing the minimum gross proceeds from C$12 million to C$7.4 million and the maximum from C$17 million to C$9.0 million. The over-allotment option was also reduced, allowing an additional C$4.5 million, bringing the total maximum potential proceeds to C$13.5 million. The offering price remains C$0.07 per unit, consisting of one common share and one full share purchase warrant.
Proceeds are interdependent with the closing of the conditional acquisition of a 70% interest in Compañía Minera Ruta de Cobre S.A. (CMRDC) in Ecuador. Net proceeds will fund the US$1.8 million initial purchase payment for CMRDC, establish local exploration operations, re-logging of 136,000 meters of drill core, maintain corporate/concession status, and cover legal costs for six months. The target closing date for both the financing and acquisition is October 8, 2026.
Tier One Silver Inc. (TSLV) faces heightened financial pressure as the reduction in financing size compounds its already strained liquidity. The company reported a depleted cash position of $593,645 CAD as of Q2 2026, alongside a working capital deficit of $1.97 million. The minimum proceeds of C$7.4 million (approximately US$5.5 million) are required to cover the US$1.8 million CMRDC initial payment, six months of corporate and operational costs, and legal fees, leaving a very narrow margin for error.
The revision suggests weaker investor demand or market conditions, increasing the risk that the company may fail to raise sufficient capital to close the CMRDC transaction or maintain operations, exacerbating existing going concern uncertainty. While the transaction structure and strategic rationale remain unchanged, the tightened capital raise increases near-term dilution risk and execution pressure.
