New Media QT target signs reseller deals with fileAI

Asiatel Outsourcing Ltd., the target company under New Media Capital 2.0 Inc.'s previously announced definitive share exchange agreement dated July 16, 2025 (see news releases of July 18, 2025, and Sept. 22, 2025), has signed reseller agreements with fileAI, a leading provider of enterprise-grade artificial intelligence solutions for document automation, compliance and data management. These agreements significantly expand Asiatel's service portfolio, reinforcing its strategy to position itself as a next-generation, AI-driven BPO (business process outsourcing) provider.

Significant conditions to closing the qualifying transaction
Completion of the qualifying transaction is subject to a number of significant conditions, including, but not limited to, completion of a concurrent financing and consolidation, filing of a prospectus, and, if required by the TSX Venture Exchange, filing of a sponsorship report with the TSX-V. There can be no assurance that the qualifying transaction will be completed as proposed or at all.
