Premier American Uranium Announces Strategic Partnership with DISA Uranium Through Colorado Asset Sale and Equity Investment

Premier American sold its Colorado package to DISA and completed a $5M placement at a 41.5% premium.

Executive Summary

Premier American Uranium Inc. (PUR) entered into an asset purchase agreement dated 2026-09-14 to sell its Colorado package, comprising the Outlaw Mesa, Atkinson Mesa, Monogram Mesa and Slick Rock properties, to DISA Uranium. As part of the transaction, PUR will receive approximately US$2,000,000 of DISA equity, consisting of 25,413 DISA Uranium shares plus warrants for another 25,413 DISA shares at US$118.05 per share, subject to vesting conditions.

Concurrently, DISA Uranium is investing US$5,000,000 in PUR subscription receipts at C$0.75 per receipt. This represents a 41.5% premium to PUR’s 2026-09-14 close of C$0.53, resulting in an approximate 8.7% post-closing stake for DISA. The US$5,000,000 is held in escrow until all conditions are met; if not released by 2027-06-13, the funds plus interest go back to DISA and the receipts are cancelled.

Under the terms of the deal, DISA gets participation rights and the right to nominate one director, with DISA CEO Greyson Buckingham expected to join PUR’s board. PUR cites strategic optionality, including potential use of DISA’s HPSA™ technology at Cebolleta and access to future regional processing. The transaction is a related-party transaction under MI 61-101; Marty Tunney abstained from voting. PUR is relying on exemptions from formal valuation and minority approval.

If released, the use of proceeds will support Cebolleta, Kaycee and Cyclone exploration/development, working capital and general corporate purposes. The companion DISA release adds that the Colorado package covers about 20,000 acres, eight DOE leases, 545 lode claims, an estimated 2 million tons of abandoned uranium mine waste, and roughly 2.7 million pounds of historical uranium resources on the DOE leases.

Material Impact

Premier American Uranium Inc. (PUR) announced a strategic transaction involving the sale of non-core assets and a new investment in DISA, marking the first time the company has flagged the Colorado sale or the DISA investment in prior releases. The deal allows PUR to monetize non-core assets while securing a strategic cornerstone investor at a premium, retaining upside through DISA equity and adding a potential technology or processing option for its Cebolleta project.

Under the terms of the agreement, PUR is issuing shares at a subscription price of C$0.75. This price is materially above the stock’s last close, which was near depressed levels, though the share price remains far below its 52-week high of C$1.45. The investment is valued at US$5M against a roughly C$50M market capitalization. Of this total, US$2M is structured as consideration in private DISA stock and warrants rather than cash. The DISA warrants are struck at US$118.05, significantly above the implied DISA share value of approximately US$78.70 used for the equity consideration, rendering their value highly speculative at this stage.

No cash proceeds are immediately available to PUR. Subscription receipt proceeds remain in escrow until conditions including those from the DOE, TSXV, and other regulatory bodies are satisfied. The transaction creates approximately 8.7% dilution only when receipts convert; if the closing fails, no dilution occurs and no investment is made. While related-party mechanics and the absence of a formal valuation present governance risks, Tunney abstained from related decisions. The move supports PUR’s previously stated portfolio-focus strategy but does not de-risk the Cebolleta, Kaycee, or Cyclone projects, instead adding contingent capital and optionality.

Company Overview

Premier American Uranium Inc. (PUR) is a pre-revenue U.S. uranium exploration and development company. Its flagship project is Cebolleta, located in New Mexico’s Grants Mineral Belt. An updated mineral resource statement for Cebolleta, detailed in the 2025 technical report, defines 20.31 million pounds of indicated eU3O8 and 7.04 million pounds of inferred eU3O8.

The preliminary economic assessment (PEA) for Cebolleta, based on a base case uranium price of US$90 per pound U3O8, outlines a 13-year mine life with an average production of 1.4 million pounds per year. The project carries an after-tax net present value (NPV) of US$83.9 million and an after-tax internal rate of return (IRR) of 17.7%, with total initial capital expenditures estimated at approximately US$112.7 million.

In Wyoming, the company holds the Kaycee project, an exploration-stage in-situ recovery (ISR) target. This project features a 36-mile trend with more than 110 miles of identified roll fronts and carries a project-level exploration target of 11.5 to 30 million pounds of U3O8.

Also in Wyoming, the Cyclone project currently holds no resource or reserve. Recent drilling has expanded known trends, including a 1.5-mile north-south trend. The best intercept reported at Cyclone was 15.5 feet at 0.09% eU3O8, including 3 feet at 0.229%.

Regarding the Colorado package, described as a non-core asset group, PUR will retain no direct operating interest if the DISA deal closes. Instead, the company will hold DISA equity and warrants. The provided materials do not disclose whether the projects are royalty-free or subject to royalties.
