GoviEX Uranium continues work on RTO with Tombador Iron

Mr. Daniel Major reports GOVIEX URANIUM ANNOUNCES CONTINUED PROGRESS ON REVERSE TAKEOVER OF TOMBADOR IRON GoviEX Uranium Inc. has made further progress on its proposed reverse takeover transaction with Tombador Iron Ltd. Since announcing the transaction on Aug. 18, 2025, as amended and restated on Sept. 5, 2025, GoviEX has continued to advance toward completion of the transaction, which is expected to create Atomic Eagle Ltd., an Australian Securities Exchange-listed uranium developer with a strengthened balance sheet, a simplified corporate structure and a clear mandate to advance and improve the Muntanga project in Zambia, supported by a proven uranium team. Tombador has recently filed its prospectus with the Australian Securities and Investments Commission (ASIC), and its shareholders are scheduled to meet on Oct. 8, 2025, to vote on the transaction. Following this, GoviEx will hold its own special meeting of shareholders, optionholders and warrantholders on Oct. 24, 2025, to consider and approve the transaction, which remains subject to shareholder, securityholder, court and regulatory approvals, as well as the completion of Tombador's concurrent capital raising. Closing continues to be targeted for early November, 2025. About GoviEX Uranium Inc. GoviEX is a mineral resource company focused on the exploration and development of uranium properties in Africa. GoviEX's principal objective is to become a significant uranium producer through the continued exploration and development of its mine-permitted Muntanga project in Zambia. We seek Safe Harbor.
