First Hydrogen to issue 129,560 shares to settle debt

Mr. Balraj Mann reports FIRST HYDROGEN ANNOUNCES PROPOSED DEBT SETTLEMENT FOR DEBENTURE INTEREST First Hydrogen Corp. proposes to settle up to $62,189.50 in accrued and owing interest into 129,560 common shares of the company. The shares shall be issued at a deemed price of 48 cents per share. The settlement amount was payable to certain debentureholders in respect of: (i) 8.0 per cent unsecured convertible debentures of the company due to mature on July 9, 2026, originally issued to the debentureholders on July 9, 2024; and (ii) 9.0 per cent unsecured convertible debentures of the company, the full principal balance of which was converted into shares on June 9, 2025, June 11, 2025, and Aug. 13, 2025, issued to the debentureholders on Nov. 22, 2023. The debentures issued on July 9, 2024, will continue to accrue annual interest at 8.0 per cent per annum on the principal balance of such debentures until the maturity date, whereupon the principal balance and all accrued but unpaid interest is due in full. All securities issued pursuant to the debt settlement will be subject to a four-month-and-one-day hold period from the closing date of the debt settlement. The debt settlement remains subject to the approval of the TSX Venture Exchange. About First Hydrogen Corp. First Hydrogen is a Vancouver, Montreal and London,-U.K.-based company focused on zero-emission vehicles, green hydrogen production and distribution. The company has designed and built two hydrogen-fuel-cell-powered light commercial vehicles (FCEVs). The FCEVs are road legal in the United Kingdom (excluding Northern Ireland) with 6,000 kilometres of testing completed and have achieved a range of 630-plus kilometres on a single refuelling.
