Stockworks Gold settles $335,071 of debt with shares

Mr. Nasim Tyab reports STOCKWORKS GOLD ANNOUNCES $335,071 OF DEBT SETTLEMENTS Stockworks Gold Inc., subject to approval by the TSX Venture Exchange, has entered into debt settle agreements with various creditors to settle $335,071 of debt by issuing 3,350,715 10-cent units. Each unit consists of one common share of the company and one-half of a common share purchase warrant, each full warrant entitling the holder to acquire an additional share of the company at an exercise price of 15 cents for the first 12 months from the date of issue and at 20 cents for the second 12 months from the date of issue, for a total exercise period of 24 months (two years). All securities issued pursuant to this debt settlement will be subject to a four-month statutory hold period, with 2,728,215 of the units being subject to a voluntary 12-month restrictive legend. This transaction remains subject to exchange approval. The company also announces that it has granted 100,000 stock options to an officer of the company, such options having an exercise price of 10 cents, with an exercise period of four years.
